1. Acceptance
By accessing, browsing or using the websites, applications or other platforms made available by Al Rostamani Trading Company LLC (“ARTC”), a member of the Al Rostamani Group (the “Group”), you acknowledge that you have read, understood and expressly agree to abide by these Terms & Conditions (“Terms”). These Terms may be modified by the Group at any time in its sole discretion. Your continued use of the Platform following any changes shall constitute your acceptance of those changes. If you do not agree to be bound by these Terms, you must immediately discontinue use of the Platform.
2. Definitions
In these Terms:
- Platform: refers to any website, application or software (in any form) owned, operated or licensed by ARTC or by any member of the Group and made available to the public.
- Content: means all information, materials, logos, programs, messages, products, texts, numbers, services, videos, sounds, pictures, articles, statements, symbols, software, source code(s), databases and all other materials displayed on the Platform.
- User, you or your: means any person who accesses, uses or browses the Platform in any capacity.
- We, us, our: means ARTC and/or any member of the Group as context requires.
- Prohibited Activity: means any activity that is unlawful, illegal or otherwise in breach of these Terms.
3. Provision of Platform
The Platform and Content are provided on an “as-is” and “as-available” basis. While we endeavour to maintain the availability of the Platform, we do not guarantee that the Platform will be uninterrupted or error-free. We make no warranties or representations, express or implied, as to the completeness, accuracy, reliability, suitability or availability of the Platform or of the Content. To the fullest extent permitted by law, we disclaim all liability for any loss or damage (including indirect, consequential or incidental loss) arising out of or in connection with your access to or use of the Platform, including but not limited to:
- Loss or damage of any kind arising from typographical errors, omissions or inaccuracies in the Content;
- Viruses, worms, bugs, Trojan horses or other malicious code, files or programs;
- Any suspension, termination or other unavailability of the Platform;
- Any failure by you to keep your details or other information up to date.
4. Acceptable Use
You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your personal or business use only, subject to full compliance with these Terms. You agree not to:
- Copy, reproduce, republish, upload, post, display, transmit or distribute any Content except as expressly permitted:
- Impersonate any person or entity or forge any identifier to disguise the origin of any content transmitted through the Platform;
- Use the Platform for unauthorized or unlawful advertising, promotional materials, spam, chain letters or pyramid schemes;
- Upload, transmit or otherwise make available any malicious computer software, virus, worm, Trojan horse, rootkit or other harmful code;
- Attempt to gain unauthorised access to the Platform, disrupt or interfere with its functioning or security;
- Scrape, data-mine or extract data from the Platform without our prior written consent;
- Engage in any activity that disrupts, diminishes, tarnishes or otherwise adversely affects the performance of the Platform or the Group’s business, reputation, image or goodwill.
5. Intellectual Property
All trademarks, trade names, logos, service marks, designs, Content and other intellectual property rights displayed on the Platform are owned by us or used under licence from third parties. Nothing on the Platform grants you any rights to use, copy, modify or distribute any of the intellectual property without our prior written permission. You shall not remove or alter any copyright, trade mark or other proprietary notice from any portion of the Platform.
6. Third-Party Links and Content
The Platform may contain links to websites, applications or domains operated by parties other than us (third parties). Such links are provided solely for your convenience. We do not endorse, approve or make any representation about any third-party site, application, content or service. We assume no responsibility or liability for any loss or damage arising from your use of such third-party sites, applications or services. Your access to and use of any third-party site, application or service is at your own risk.
7. Fraudulent Web Sites
We are aware that unscrupulous parties may attempt to imitate the Platform, or use our name, trade marks or designs to mislead users. We take commercially reasonable steps to protect against such misuse. You are asked to verify the authenticity of any website or domain which appears to use our trade marks or designs. We shall not be liable for any actions you take in respect of any fraudulent website that claims to be associated with us unless you have expressly confirmed the association with us in writing.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall we, our officers, directors, employees or agents be liable for any direct, indirect, punitive, incidental, special or consequential damages, including without limitation loss of profit, loss of business, loss of data or loss of goodwill, arising from or in connection with:
- Your access to or use of the Platform;
- Any errors or omissions in the Platform or Content;
- Any suspension, termination or other discontinuation of the Platform (or any part thereof);
- Any unauthorised access to or use of our secure servers or any personal information stored therein;
- Any interruption, delay, virus or other malicious or harmful component encountered;
- Your reliance on any Content on the Platform.
9. Changes to Terms
We reserve the right, in our sole discretion, to modify, suspend or discontinue all or part of the Platform or these Terms at any time without prior notice. Any changes shall be effective immediately upon posting of the revised Terms to the Platform. Your continued use of the Platform after such posting constitutes your acceptance of the changes. It is your responsibility to review the Platform periodically to ensure you are aware of the then-current Terms.
10. Governing Law and Jurisdiction
These Terms, and your use of the Platform, shall be governed by and construed in accordance with the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
11. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, then such provision shall be severed and the remaining Terms shall continue in full force and effect.
12. Entire Agreement
These Terms constitute the entire agreement between you and us regarding your use of the Platform and supersede all prior and contemporaneous understandings, whether oral or written.
